1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a binding agreement between Agentic Studio Inc. (“Agentic Studio”, “we”, “our”, or “us”) and the individual or entity (“you”, “your”, or “Customer”) accessing or using our services. By creating an account, subscribing to, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and General Terms of Use, each of which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Services.

2. Scope of Services

“Services” means the automation, software-as-a-service (SaaS), artificial intelligence solutions, integrations, consulting, and related offerings made available by Agentic Studio. Services may include:

• Access to SaaS platforms, templates, dashboards, and APIs.
• Automation workflows, voicebots, and chatbots.
• Integration with third-party applications and data sources.
• Professional services, including implementation, training, and consulting.

Agentic Studio reserves the right, at its sole discretion, to modify, suspend, or discontinue any aspect of the Services at any time without liability, provided that such modification does not materially degrade the core functionality of your active subscription.

3. Eligibility and Authority

By using the Services, you represent and warrant that:

1. You are at least 18 years old or the age of majority in your jurisdiction;
   b. You have the legal capacity to enter into these Terms; and
   c. If you are acting on behalf of an entity, you have full authority to bind that entity to these Terms.

4. Account Registration and Security

You agree to provide accurate, current, and complete information when registering an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Agentic Studio shall not be liable for any loss or damage arising from your failure to comply with these obligations.

5. License Grant and Restrictions

Subject to these Terms, Agentic Studio grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services during the applicable subscription term.

You shall not, and shall not permit any third party to:

1. Copy, modify, or create derivative works of the Services;
   b. Reverse engineer, decompile, or attempt to extract source code;
   c. Resell, sublicense, or distribute the Services;
   d. Use the Services for unlawful purposes or in violation of applicable laws;
   e. Circumvent or disable security features; or
   f. Use the Services in a manner that competes with Agentic Studio.

6. Customer Data and Data Processing

6.1 Ownership. You retain ownership of all data, content, or information you input into the Services (“Customer Data”).

6.2 License to Use. By using the Services, you grant Agentic Studio a worldwide, irrevocable, royalty-free license to collect, host, store, process, analyze, modify, and use Customer Data as reasonably necessary to:

• Deliver, maintain, and improve the Services;
• Develop new features and functionality;
• Ensure compliance with applicable laws; and
• Perform internal business operations.

6.3 Data Responsibility. You represent and warrant that you have all necessary rights and consents to provide Customer Data, and that your use of the Services complies with all applicable privacy and data protection laws.

6.4 Disclaimer. While Agentic Studio implements commercially reasonable safeguards, we do not warrant or guarantee that Customer Data will be secure, free from corruption, or error-free. You acknowledge that data transfer and storage inherently involve risks beyond our reasonable control.

7. Fees and Payment Terms
8. Fees for Services are due in advance and payable in accordance with the subscription plan selected.
   b. Unless expressly stated otherwise, all fees are non-refundable.
   c. Subscriptions will automatically renew at the end of each billing cycle unless canceled prior to renewal.
   d. You are responsible for all applicable taxes, duties, and charges arising from your purchase of Services.

Failure to pay fees when due may result in suspension or termination of your access to the Services.

8. Third-Party Services

Certain Services may enable integration with third-party APIs, software, or platforms. Agentic Studio does not control, endorse, or assume responsibility for any third-party service. Your use of such integrations is governed by the respective third-party terms and conditions.

9. Intellectual Property

All rights, title, and interest in the Services, including software, documentation, branding, and underlying technology, remain the exclusive property of Agentic Studio and its licensors. Except for the limited license expressly granted herein, no rights are conveyed to you.

10. Confidentiality

Both parties agree to maintain the confidentiality of any non-public, proprietary, or sensitive information disclosed in connection with the Services. Confidentiality obligations shall survive termination of these Terms, except where disclosure is required by law.

11. Warranties and Disclaimers

To the maximum extent permitted by law:

1. The Services are provided on an “as is” and “as available” basis.
   b. Agentic Studio disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.
   c. Agentic Studio does not warrant that the Services will be uninterrupted, error-free, secure, or suitable for your intended purposes.

12. Limitation of Liability

12.1 Exclusion of Damages. To the fullest extent permissible under applicable law, Agentic Studio shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

12.2 Cap on Liability. Agentic Studio’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount actually paid by you for the Services in the twelve (12) months preceding the claim.

12.3 No Compensation Obligation. Except where prohibited by law, Agentic Studio shall have no obligation to provide refunds, credits, or other compensation for interruptions, delays, or failures in the Services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Agentic Studio, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of:

1. Your misuse of the Services;
   b. Your violation of these Terms; or
   c. Your violation of applicable laws or third-party rights.

14. Term and Termination
15. These Terms commence upon your first use of the Services and remain in effect until terminated.
    b. You may cancel your subscription at any time; however, no refunds will be provided.
    c. Agentic Studio may suspend or terminate your access to the Services immediately if you breach these Terms or fail to pay fees when due.
    d. Upon termination, your rights to use the Services shall cease, and any licenses granted herein shall immediately expire.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiations. If unresolved, disputes shall be exclusively submitted to the courts of Ontario, unless otherwise required by mandatory consumer protection laws.

16. Amendments

Agentic Studio reserves the right to amend or update these Terms at any time. Any such changes will be effective upon posting at https://agentic-studio.ai/terms-of-use/. Continued use of the Services constitutes acceptance of the amended Terms.

17. Entire Agreement

These Terms, together with the Privacy Policy and General Terms of Use, constitute the entire agreement between you and Agentic Studio regarding the Services and supersede all prior agreements, representations, or understandings.
