1. Acceptance of General Terms

These General Terms of Use (“General Terms”) govern your access to and use of Agentic Studio Inc.’s (“Agentic Studio”, “we”, “our”, “us”) services, materials, demonstrations, and related content (collectively, the “Services”), whether accessed online, through trial environments, consulting engagements, or other channels.

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these General Terms and our Privacy Policy.

If you do not agree, you must refrain from using the Services.

2. Scope of Application

These General Terms apply to:

• Browsing, trial use, or demo access to the Services;
• Use of non-subscription or limited functionality environments;
• Access to informational or marketing content made available by Agentic Studio;
• Any pre-contractual interactions with Agentic Studio’s offerings.

For paid subscriptions or signed engagements, the Terms of Use shall govern and supersede these General Terms.

3. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to access or use the Services. By using the Services on behalf of an organization, you represent that you have authority to bind that organization to these General Terms.

4. Permitted Use

Subject to compliance with these General Terms, you are granted a limited, revocable, non-exclusive license to access and use the Services solely for evaluation, informational, or internal business purposes.

You agree not to:
a. Reproduce, distribute, or commercialize any materials made available through the Services;
b. Interfere with or disrupt the operation of the Services;
c. Use the Services for unlawful or harmful purposes; or
d. Attempt to gain unauthorized access to any systems or networks connected to the Services.

5. Intellectual Property Rights

All rights, title, and interest in the Services, including software, documentation, branding, and marketing materials, remain the exclusive property of Agentic Studio and its licensors.

Except as expressly permitted herein, no license or ownership rights are granted to you.

7. Customer Data. Any data or content you provide while accessing the Services remains yours. By doing so, you grant Agentic Studio a license to collect, process, store, analyze, and use such data solely as reasonably necessary to operate, maintain, and improve the Services.
8. Non-Confidentiality. Information exchanged during demonstrations, trials, or evaluations may not be treated as confidential unless expressly agreed in writing.
9. Disclaimer. While we take reasonable measures to protect information, Agentic Studio makes no guarantees regarding security, confidentiality, or integrity of data provided under these General Terms.

7. Third-Party Services

The Services may include links to or integrations with third-party platforms. Such services are provided “as is,” and Agentic Studio is not responsible for their content, availability, or compliance.

8. Warranties Disclaimer

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Agentic Studio disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Agentic Studio shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services under these General Terms.
• Agentic Studio’s aggregate liability, if any, shall not exceed USD $1.

10. Indemnification

You agree to indemnify and hold harmless Agentic Studio, its affiliates, and personnel against claims, damages, or expenses arising from your misuse of the Services, breach of these General Terms, or violation of applicable law.

11. Termination

Agentic Studio reserves the right to suspend or revoke your access to the Services at any time, with or without cause, and without liability. Upon termination, all rights granted to you under these General Terms shall immediately cease.

12. Governing Law

These General Terms shall be governed by the laws of Ontario, Canada, without regard to conflict of laws principles. Disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, unless otherwise required by mandatory consumer protection laws.

13. Modifications

Agentic Studio may revise these General Terms at any time. Updated versions will be posted at https://agentic-studio.ai/general-terms-of-use/. Continued use of the Services after revisions constitutes acceptance of the updated General Terms.

14. Entire Agreement

These General Terms, together with our Privacy Policy and, where applicable, the Terms of Use, constitute the entire agreement between you and Agentic Studio regarding your use of the Services under these General Terms.
